Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Enigmatic IT Solutions FZE ("Steer", "we", "us") governing your use of the Steer service at steer.social, pages published through it, and related applications (the "Service"). Sharjah Free Zone, Sharjah, United Arab Emirates By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Steer lets an account holder create a web page that answers visitors' questions in text and in a synthesised voice, which may be a clone of the account holder's own voice. Answers are generated automatically from the content the account holder provides. We may change, suspend or discontinue any part of the Service, and will give reasonable notice of material changes where practical.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter into a binding contract.
• Accounts are not available to residents of the European Economic Area at this time.
• You are responsible for your account, for keeping your credentials and access codes confidential, and for everything done through your account. Tell us promptly at support@steer.social if you believe it has been compromised.
• You must provide accurate information and keep it current. One person may hold one account unless we agree otherwise.

3. Voice cloning

• You may clone only your own voice, or the voice of a person who has given you clear, informed permission that you can evidence on request. You confirm this each time you clone a voice.
• You must not clone, imitate or present the voice of any other person, living or dead, including public figures, without such permission.
• Voice models are private to your page and are used only to speak the answers your page gives. Audio produced by the Service is recorded, and audio in a cloned voice is watermarked, so that its origin can be established.
• We may suspend or delete a voice model, without notice, where we reasonably believe it was created or is being used in breach of these Terms or the law.

4. Your content

• You retain ownership of the content you provide, including your recording, your page text and your photo ("Your Content").
• You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, transmit, display and perform Your Content, and to create and use a voice model from your recording, solely to operate, secure and improve the Service and as otherwise permitted by these Terms. The licence ends when you delete the content or your account, except for copies held in routine backups for a limited period and content that others have already lawfully shared.
• You represent that you have all rights needed to provide Your Content and that it does not infringe anyone's rights or the law.
• Answers generated by your page are produced automatically from Your Content and may be inaccurate. You are responsible for reviewing what your page says and for the content you make available to visitors.
• A public page is public: anyone with the link may read it and hear it, and search engines may index it. Use a private page with an access code for anything you want to limit.

5. Acceptable use

You must not use the Service to:

• impersonate any person or organisation, or misrepresent who is speaking;
• deceive, defraud, harass, threaten, defame or abuse anyone, or produce sexual content involving minors or non-consensual sexual content;
• infringe intellectual-property, privacy, publicity or other rights;
• publish malware, spam, or content that is unlawful where you or your visitors are;
• collect personal data from visitors without a lawful basis, or invite visitors to disclose sensitive information;
• probe, disrupt or overload the Service, circumvent limits, scrape it, or access it by automated means except through interfaces we provide for that purpose;
• resell the Service or provide it to third parties as a service of your own without our written agreement.

We may remove content, unpublish pages, or suspend or terminate accounts that we reasonably believe breach this section.

6. Plans, payment and credits

• Free plan. Includes the page and conversation allowances shown on our pricing page. We may change allowances with notice.
• Paid plans. Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled. Usage beyond a plan's included conversations is billed at the rate shown on the pricing page. Prices exclude taxes, which we add where required.
• Credit packs. Conversation credits are consumed after a plan's included conversations, do not expire while the account is open, are non-transferable and are not refundable once purchased, except as required by law.
• Cancellation and refunds. You may cancel at any time from Settings; the plan remains active until the end of the period already paid for. Fees already paid are not refunded, except where the law requires or where we choose to refund at our discretion.
• Failed payments. If a payment fails, we may downgrade the account to the free plan after reasonable notice.
• Payment processing is performed by our payment processor; card details are provided directly to them and are subject to their terms.

7. Availability and support

We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. Current status is published at status.steer.social. Support is provided by email at support@steer.social.

8. Intellectual property

The Service, including its software, design, trade marks and the Steer name, is owned by us or our licensors and is protected by intellectual-property law. These Terms grant you no rights in it other than the limited right to use the Service in accordance with these Terms. Feedback you give us may be used without obligation to you.

9. Third-party services and links

The Service relies on infrastructure, model and communication providers acting on our behalf. Pages may contain links to third-party sites that account holders add; we are not responsible for those sites.

10. Reporting misuse

If you believe a page uses your voice, your likeness or your content without permission, or otherwise breaches these Terms, use the report link on the page or write to support@steer.social with the page address and a description. We review reports promptly and may unpublish a page while we do. Knowingly false reports are themselves a breach of these Terms.

11. Term and termination

• You may stop using the Service and delete your account at any time from Settings. Deletion erases your pages, conversation records and voice model and cannot be undone.
• We may suspend or terminate your access, with notice where practical, if you materially breach these Terms, if required by law, or if we discontinue the Service. On termination, sections that by their nature should survive (including 4, 8, 12, 13 and 15) continue to apply.

12. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and that generated answers or synthesised speech will be accurate, complete or appropriate. The Service is not a substitute for professional advice of any kind.

13. Limitation of liability

To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from or related to the Service or these Terms; and (b) our total liability for all claims in any twelve-month period will not exceed the greater of the amounts you paid us in that period and USD 100. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.

14. Indemnity

You will defend, indemnify and hold harmless Enigmatic IT Solutions FZE and its officers, employees and agents from claims, damages and costs (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right, including any claim that a voice you cloned was used without permission.

15. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. The parties will first try to resolve any dispute informally by contacting each other; failing resolution within 30 days, disputes are subject to the exclusive jurisdiction of the courts of the Emirate of Sharjah, United Arab Emirates, without prejudice to any mandatory consumer rights you have where you live.

16. General

• These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• If any provision is found unenforceable, the rest remains in effect.
• Our failure to enforce a provision is not a waiver.
• You may not assign these Terms; we may assign them to a successor of the Service.
• We may update these Terms. The version number and date at the top show when they last changed. For material changes we will notify account holders by email or in the studio before the change takes effect; continued use after that is acceptance.
